Websites, hosting, web addresses, business email and related services – Suriname

1. Who we are and when these terms apply

1.1These Terms & Conditions apply to every quote, proposal, invoice and service from Divi Hosting, Finibitastraat 7, Flora A, Paramaribo, Suriname (info@divi-hosting.com, +597 823 9737).

1.2By accepting a quote, confirming by WhatsApp or email, or making any payment, the client accepts these terms.

1.3In these terms, "we" and "us" means Divi Hosting, including its team members, partners and subcontractors. "Client" and "you" means the person or business that requests or uses our services. "Project" means the work described in the quote, proposal or invoice. "Written" includes WhatsApp messages and email.

1.4Services covered: website design and development, hosting, web addresses (domains), business email, maintenance, logos and graphics, videos, social media services, online stores, custom software and related work.

2. Quotes, scope and approval

2.1A quote is valid for 1 month from its date. A client who accepts within that month keeps the quoted price. Price changes only apply to the future.

2.2Only what is written in the quote is included. Verbal requests, assumptions and implied requirements are not included.

2.3Extra pages, booking, online stores, logins, integrations, translations, chatbots, apps and other features are quoted separately.

2.4For online stores, entering products, prices, photos and pages (onboarding) is not included in the store price unless the quote says so.

2.5The client reviews and approves designs, content and functions. Approval may be given in writing, including by WhatsApp. Approved work cannot later be the basis of a claim.

2.6All prices are in Surinamese dollars (SRD) and exclude 10% VAT (BTW), unless the quote or invoice says otherwise.

3. Payment

3.150% advance before work starts; 50% on completion, before the website goes live. Payment after completion is only possible when Divi Hosting agrees to it in writing for that specific client.

3.2Payment is made by bank transfer as stated on the invoice. Transfer fees and service charges are paid by the client. The client sends proof of payment (for example a screenshot).

3.3The advance secures the start of the work and is non-refundable once work has started. Fees for domains, licences and other third-party costs are non-refundable once paid.

3.4If an invoice is not paid on time, we may pause the work and suspend the website and business email until payment is received. Restart and recovery costs are charged.

3.5The client may not withhold, deduct or set off any amount against our invoices because of a claimed loss, delay, defect or dispute.

3.6Anything given free of charge or at a discount as a courtesy (for example a free logo or an extra change) is a one-time gesture. It does not create any obligation to provide free work in the future and does not increase our liability.

4. Changes

4.1For fully managed websites, Divi Hosting makes all changes. The client does not receive access to the website system.

4.2After approval or go-live, changes are charged as per our price list. There are no free changes. One change is one task on one page, with fair use. A redesign of a page is not a change and is quoted separately.

4.3Corrections of our own mistakes within the agreed scope are made free of charge.

4.4For WordPress websites, the client receives a login. The client is responsible for changes made by the client or by others. Fixing problems caused by such changes is charged.

5. Hosting

5.1Our packages and offer prices include hosting on Divi Hosting's platform and are only provided hosted with Divi Hosting. A website built on our platform is always hosted by Divi Hosting and cannot be moved to another hosting company.

5.2Any exception, such as hosting elsewhere, is only possible when agreed in writing before work starts, at the extra fee stated in the quote. Website files are then delivered only after full payment.

5.3Hosting is billed per quarter, in advance. As a courtesy, renewal invoices are sent 3 months before the renewal date. The client is responsible for paying on time; Divi Hosting is not responsible for reminding clients about renewals, discounts, promotions or expiring services.

5.4We do not guarantee uninterrupted availability, uptime, speed or response times unless agreed in a signed service level agreement (SLA). Hosting depends on data centres, providers, networks, electricity and internet connections.

5.5We may limit or suspend a website that harms our servers or other clients, for example through malware, spam, abuse or excessive load. Illegal content, spam, malware and material that infringes the rights of others are not allowed and may lead to suspension without refund.

6. Backups and loss of data

6.1Backups are not included in hosting. Divi Hosting is not responsible for making or keeping backups of websites, files, databases, product data or emails, unless the client has a paid backup or maintenance plan that says so in writing.

6.2Any backup we make, with or without a plan, is a best-effort courtesy. Digital backups may be incomplete, damaged or impossible to restore. Restoring data is never guaranteed.

6.3Hosting files, databases and emails can be lost through hardware failure, software errors, provider failures, cyberattacks, human error or force majeure. Divi Hosting is not liable for any loss of data, however it is caused.

6.4The client keeps its own up-to-date copies of all content, photos, documents, product information and important emails.

6.5If data is lost, rebuilding or restoring the website is charged as new work, unless a paid plan states otherwise.

7. Web addresses (domains) and business email

7.1The package includes the web address extension stated in the quote. Other extensions cost extra every year.

7.2Web addresses are registered after the advance payment is received, normally when the website is ready to go live.

7.3Registries and registrars set their own prices. Their price changes may change future renewal fees.

7.4Renewal invoices are sent 3 months before expiry. If a renewal is not paid 6 weeks before expiry, the web address may lapse. Recovering it costs the registrar's recovery fee at that time. Divi Hosting is not liable if a web address lapses or is registered by someone else.

7.5Business email includes the mailboxes and storage stated in the package. Email delivery cannot be guaranteed (for example because of spam filters or other providers). The client keeps copies of important emails. Email forwarding is charged separately.

8. Ownership and portfolio

8.1The client owns the content it supplied. Texts, images and logos made for the client belong to the client once the project is fully paid.

8.2Divi Hosting keeps ownership of its systems, website management platform, code, tools, templates, processes and reusable components.

8.3With the client's permission, we may show the finished website in our portfolio and sample links.

9. Client responsibilities

9.1The client is responsible for:

  • giving correct and complete information, content, photos, logos and approvals on time;
  • making sure all material it supplies may legally be used, and that its products and activities are legal;
  • keeping passwords safe and changing passwords it receives from us;
  • its own accounts with third parties, such as Facebook, Instagram, Google and banks;
  • reviewing delivered work and reporting problems quickly.

9.2Delays caused by the client extend the timeline. If a project is on hold for more than 3 months because of the client, restarting may be charged.

10. Third-party services

10.1Our services depend on hosting and cloud providers, domain registries, email providers, payment providers, social media platforms, plugins, licences, APIs and AI tools. Their prices, availability, functions and policies may change outside our control. Divi Hosting is not liable for their failures or changes.

11. Security

11.1We apply reasonable security practices, but no system can be guaranteed free of vulnerabilities. Divi Hosting is not responsible for hacking, malware or unauthorised access outside an agreed maintenance plan. Malware removal and repairs outside a plan are charged per hour.

12. WordPress websites (additional terms)

12.1WordPress websites depend on WordPress, themes, plugins and external services, which third parties may change or end without notice. Updates may affect how the site works.

12.2Divi Hosting is not responsible for problems caused by updates, plugins, licences or security issues unless an active maintenance plan covers them. We advise a maintenance round every quarter; every 6 months or once a year is the client's choice.

12.3The client is responsible for third-party licences, plugins, themes and subscriptions and their renewal dates.

13. No guaranteed results

13.1A website, advertising, social media or other service does not guarantee search rankings, visitors, enquiries, sales or any other business result.

13.2Content created with the help of AI may contain errors or similarities to other material. The client reviews and approves all content before it is published.

14. Limitation of liability

14.1Divi Hosting's total liability for all claims together relating to a project or service is limited to the amount the client actually paid for that specific project. For recurring services (hosting, domains, email, maintenance), it is limited to the fees paid for the current billing period. In no case is Divi Hosting liable for more than the project cost.

14.2Divi Hosting is never liable for indirect, incidental, special or consequential loss of any kind, including:

  • lost profit, revenue, sales, customers or orders;
  • lost or damaged data, files, emails or content;
  • loss of goodwill or reputation;
  • business interruption, downtime or missed opportunities;
  • the cost of another provider or replacement services;
  • claims from third parties, fines or penalties.

14.3The client cannot charge, invoice, deduct or claim any such loss or damage from Divi Hosting.

14.4Divi Hosting is only liable where it is shown to be directly at fault. It is not liable for problems caused by the client, by third parties, by approved work, or by force majeure.

14.5Problems must be reported in writing within 14 days after the client discovers them, and in any case within 3 months after the service was delivered. Later claims lapse. Divi Hosting first gets a reasonable chance to fix the problem; fixing the problem is the client's main remedy.

14.6These limits also protect our team members, partners and subcontractors. The client cannot bring a personal claim against them.

14.7Where the law does not allow a limitation or exclusion, Divi Hosting's liability is limited to the minimum the law allows.

15. Force majeure

15.1Divi Hosting is not liable for any failure, delay, outage or loss of data caused by events beyond its reasonable control, including:

  • natural disasters, storms, floods, fire and extreme weather;
  • power cuts and internet or telecom outages;
  • failure or shutdown of data centres, hosting or cloud providers, registrars or email providers;
  • hardware failure, and errors in third-party software or platforms;
  • cyberattacks, hacking, malware and denial-of-service attacks;
  • war, unrest, strikes, epidemics, government actions, new laws, sanctions or export restrictions.

15.2During such an event our obligations are suspended. No compensation, refund or price reduction is owed.

15.3If such an event lasts more than 60 days, either party may end the affected service. Work already done remains payable.

16. Indemnity

16.1The client protects Divi Hosting against all claims, costs and damages (including legal costs) from third parties that arise from the client's content, products, activities, use of the website or breach of these terms.

17. Suspension and termination

17.1Divi Hosting may suspend or end services for non-payment, abuse, illegal content or activities, or threatening or abusive behaviour towards our team.

17.2The client may end a recurring service by asking us before the renewal or by not renewing. Fees already paid are non-refundable, and work already done remains payable.

17.3After a service ends, hosted files and emails may be deleted after 30 days. Divi Hosting has no duty to keep backups after that.

18. General

18.1Divi Hosting may update these terms. Changes apply to the future; the current published version applies. Arrangements agreed with clients before 15 October 2026 remain as agreed.

18.2The quote sets the commercial details (scope, price, timeline). These terms, including the limitation of liability, always apply unless a written agreement signed by Divi Hosting explicitly says otherwise.

18.3If any part of these terms is invalid, the rest remains valid, and the invalid part is replaced by a valid rule that comes as close as possible to its purpose.

18.4If we do not enforce a right immediately, we do not give it up.

18.5These terms are governed by the laws of Suriname. Disputes are first discussed in good faith for 30 days; after that, they go to the competent court in Paramaribo, Suriname.
